This License Agreement (“Agreement”) governs your use of all software products developed and distributed by AiAudio Sp. z o.o., including but not limited to DXAssist, AAF Organizer, Music Parser, and any future products (collectively referred to as the “Software”).
By installing, activating, subscribing to, or using the Software, you agree to be bound by the terms of this Agreement. If you do not agree to these terms, you may not use the Software.
AiAudio Software is licensed, not sold. All intellectual property rights in the Software remain the exclusive property of

License Types and Scope of Use
AiAudio offers two primary licensing models: perpetual licenses and subscription licenses.
A Perpetual License is granted upon full one-time payment and allows you to use the purchased major version of the Software indefinitely, subject to compliance with this Agreement. The license includes minor updates within the same major version but does not include future major upgrades unless separately purchased.
A Subscription License grants you a limited, non-exclusive, non-transferable right to use the Software during an active subscription period. Subscriptions may be billed monthly or annually and renew automatically unless canceled before the next billing cycle. If your subscription expires or payment fails, access to the Software may be suspended or terminated. A subscription does not grant ownership or perpetual usage rights.
Licenses may be issued as Personal Licenses (for one named individual, usable on up to three devices), Site Licenses (for legal entities with a defined number of seats), Bundle Licenses (covering multiple products as defined at purchase), Upgrade Licenses (for newer major versions), or Educational (EDU) and Not For Resale (NFR) Licenses. EDU and NFR licenses are non-transferable and may not be resold.
A Personal License may include access to multiple device activations. AiAudio may implement a seat-based activation system. Under this system, the license holder may activate and deactivate seats on different workstations as needed. However, the number of simultaneously active seats may never exceed the number of seats granted under the license. Unless explicitly stated otherwise, a single-seat license permits use on one active device at a time. While a user may switch activation between devices, concurrent simultaneous use on more devices than licensed is strictly prohibited.
A Site License grants use on the number of seats specified at purchase. The licensee may manage seat allocation internally, but simultaneous use may not exceed the licensed seat count.
Except where explicitly permitted, licenses may not be shared, sublicensed, rented, or transferred without prior written consent from AiAudio. Subscription licenses are non-transferable.
Evaluation and Activation
AiAudio may provide trial versions of the Software for evaluation purposes. Evaluation periods typically last 7 days from first activation. After expiration of the trial period, continued use requires a valid license or subscription.
To protect its intellectual property and prevent abuse, AiAudio Software may periodically verify license validity. This may include processing device identifiers, device names, and license identifiers. If misuse or violation of this Agreement is detected, AiAudio reserves the right to suspend or terminate access to the Software.
Restrictions
You may not reverse engineer, decompile, disassemble, modify, or attempt to circumvent copy protection mechanisms in the Software. You may not remove proprietary notices, distribute license keys, resell the Software without authorization, or use it in violation of applicable laws. Any rights not expressly granted under this Agreement remain reserved by AiAudio.
Updates and Support
Perpetual licenses include minor updates within the purchased major version. Subscription licenses include updates during the active subscription period.
AiAudio may provide support services at its discretion and reserves the right to discontinue support for older major versions at any time.
Termination
This Agreement remains in effect until terminated. AiAudio may terminate the license immediately if you breach this Agreement, engage in fraud, fail to meet payment obligations, or misuse the Software. Upon termination, you must immediately cease use of the Software and uninstall it from all devices.
Disclaimer of Warranties
To the maximum extent permitted by law, the Software is provided “as is” without warranty of any kind. AiAudio disclaims all express and implied warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. AiAudio does not guarantee that the Software will operate without interruption or error.
Limitation of Liability
To the maximum extent permitted by law, AiAudio shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of or inability to use the Software. In no event shall AiAudio’s total liability exceed the amount paid for the license, or in the case of a subscription, the fees paid during the twelve (12) months preceding the claim.
Third-Party Technologies
The Software may support or reference third-party technologies such as VST, AAX, or AU formats, which are trademarks of their respective owners. AiAudio is not affiliated with or endorsed by such third parties unless explicitly stated.
Amendments
AiAudio reserves the right to update this Agreement from time to time. The version in effect at the time of purchase, activation, or subscription governs your use of the Software.
Changes to This Agreement
We may update this Agreement from time to time. The latest version will always be available on our website.
